Terms of Service

01. Service Provision

BlackDot44 Ltd provides bespoke creative engineering, digital product design, and brand identity services. Each project is governed by a specific Statement of Work (SOW) which outlines the exact deliverables, timelines, and technical specifications agreed upon between the parties.

• arrow_rightThird-party software dependencies are subject to their own respective terms.

02. Intellectual Property

Unless otherwise specified in a signed SOW, all intellectual property developed during the term of an engagement remains the property of BlackDot44 until full payment is received. Upon final payment, the client is granted a perpetual, worldwide, non-exclusive license to use the final deliverables for their intended commercial purpose. BlackDot44 retains the right to display project outcomes in professional portfolios, awards, and marketing materials, provided no confidential information is disclosed.

03. Fees and Payment

We operate on a strictly structured payment schedule. Projects generally require a 50% initial commitment fee to secure studio capacity. Remaining milestones are billed upon completion of specific project phases.

• arrow_rightTaxes are applied based on the jurisdiction of the contracting entity.

04. Technical & Security Obligations

As a technical creative studio, we prioritize the integrity of digital infrastructure. Clients must provide secure access to necessary repositories and assets. BlackDot44 is not liable for data breaches resulting from insecure client-side credentials or legacy infrastructure managed by third parties.

05. Limitation of Liability

To the maximum extent permitted by English law, BlackDot44 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

06. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Winchester, England.
